These Terms of Service ("Terms") govern your use of the Context Memo platform operated by Context Memo ("we," "us," or "our") at contextmemo.com. By creating an account or using our services, you agree to these Terms.
Account Terms
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must be at least 18 years old to use the platform.
- One person or legal entity per account. Accounts cannot be shared.
- You are responsible for all activity that occurs under your account, whether or not you authorized it.
Domain Verification
To create memos for a brand, you must verify ownership or authorized control of the associated domain through our verification process (email domain matching, DNS TXT record, or meta tag verification). You represent that you have the authority to act on behalf of the brand for which you create memos, pages, and campaigns.
Acceptable Use
You agree not to:
- Provide false, misleading, or fraudulent information about any brand
- Create memos, pages, or campaigns for brands you do not own or have authorization to represent
- Use the platform to harass, defame, or disparage competitors
- Attempt to manipulate AI models with fabricated or misleading content
- Collect personal data through lead forms in violation of applicable law
- Reverse-engineer, scrape, or systematically extract data from the platform
- Interfere with or disrupt the platform's infrastructure
- Violate any applicable laws or regulations
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
Content & Intellectual Property
Your Content
You retain ownership of the brand information you provide to Context Memo. By submitting content, you grant us a worldwide, non-exclusive license to use, process, and display that information for the purpose of generating and publishing memos, landing pages, and campaigns on your behalf.
Generated Memos and Pages
Memos and pages generated by Context Memo are produced using AI and editorial processes. Once published, they are publicly accessible documents. Public content can be crawled and indexed by search engines and AI systems; being discoverable is the purpose of the product. You may request removal of your published content by deleting your brand from the platform or contacting support.
Our Platform
The Context Memo platform, including its design, code, algorithms, and documentation, is our intellectual property. These Terms do not grant you any rights to our platform beyond the limited right to use it as a customer.
AI-Generated Content & Scans
Memos and pages are generated with the assistance of artificial intelligence. While we verify content against primary sources and follow strict editorial guidelines, AI-generated content may contain errors. You should review all published content for accuracy. We are not liable for decisions made based on AI-generated content.
Visibility scans are simulated queries that we run against AI engines on your behalf. Scan results measure how citable your content is under our query set; they are directional strategy input, not a measure of real user activity or demand. We do not guarantee that any AI engine will cite, mention, or rank your brand.
Landing Pages & Lead Capture
The platform lets you build and publish landing pages, including pages with lead capture forms.
- Your pages, your claims. You are responsible for the accuracy and legality of the content, offers, and claims on pages published for your brand, including AI-generated copy you approve.
- Your leads, your obligations. Lead data submitted through your forms belongs to you. You are the data controller for it; we process it on your behalf as described in our Privacy Policy. You must have a lawful basis for collecting and contacting leads and must comply with applicable privacy and marketing laws.
- No sensitive data. Do not use lead forms to collect passwords, payment card numbers, health information, or other sensitive personal data.
Advertising Services
The platform can create and manage advertising campaigns on third-party ad networks, currently OpenAI Ads, using your own advertiser account.
- Ad spend is between you and the network. Campaign budgets and ad spend are billed by the ad network under your advertiser account, not by us. Our subscription fees do not include ad spend.
- Network policies apply. You are responsible for ensuring your campaigns, ad copy, and landing pages comply with the ad network's policies and applicable advertising law.
- Conversion tracking. If you enable conversion tracking, lead events are shared with the ad network as described in our Privacy Policy, and you are responsible for any disclosures this requires on your pages.
- No performance guarantee. We do not guarantee ad delivery, click-through, conversion, or any particular campaign outcome.
Third-Party Integrations
You may optionally connect third-party services to your brand, such as Google Analytics, Google Search Console, Bing Webmaster Tools, HubSpot, Slack, Cloudflare, and meeting-notes tools. By connecting a service you represent that you are authorized to do so. Your use of each connected service remains governed by that provider's own terms, and we are not responsible for third-party services. You can disconnect an integration at any time from your dashboard settings.
Payments & Subscriptions
- Paid plans are billed in advance on a monthly or annual basis through Stripe.
- Prices are listed on our pricing page and may change with 30 days' notice.
- Refunds are handled on a case-by-case basis. Contact stephen@contextmemo.com for billing inquiries.
- Failure to pay may result in suspension or downgrade of your account.
- You are responsible for any applicable taxes associated with your subscription.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We are not liable for any loss or damage resulting from service interruptions.
Limitation of Liability
To the maximum extent permitted by law, Context Memo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities, arising from your use of the platform.
Our total liability for any claim related to these Terms or the platform shall not exceed the amount you paid us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Context Memo, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the platform, your content, your campaigns, your handling of lead data, or your violation of these Terms.
Termination
- You may close your account at any time through your dashboard settings or by contacting support.
- We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice.
- Upon termination, your right to access the platform ceases. Published memos may remain accessible as public reference documents unless you request removal prior to termination.
- You may request export of your data before account closure. See our Privacy Policy for data retention details.
Dispute Resolution
Any disputes arising from these Terms or your use of the platform will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before they take effect. Continued use of the platform after changes constitutes acceptance of the updated Terms.
